Any changes or modifications will be effective immediately upon posting of the revisions to the Services, and you waive any right you may have to receive specific notice of such changes or modifications. If you become a student, your educational information that is part of your educational record with us is subject to the U.S. Federal Family Educational Rights and Privacy Act (FERPA), state laws and the University's policies (collectively “Student Educational Records Requirements”). In the event of any conflict between Student Educational Records Requirements and these Terms of Use, the Student Educational Records Requirements will take precedence. Students have the right to limit access to their educational records and to request a copy of such records, as set forth in the University’s Consumer Information Guide under the “Consumer Policies and Code of Conduct” section.
If you are an employee or contractor of the University, you have certain responsibilities with respect to your conduct as set forth in University’s policies. Your conduct on the Services is subject to and must fully conform with: a.) the terms set out in the University’s policies b.) any Additional Terms set out on the Service(s) and c.) any other employment agreements or acknowledgements that may be applicable to you. Violation of any University policies and procedures, employment agreements or acknowledgments or Additional Terms may result in appropriate sanctions, as determined in the University’s sole discretion, up to and including termination of your employment, in addition to any other consequence, penalty or liability that may result from such behavior. In the event of any conflict between these Terms of Use (including any Additional Terms) and any University policy, or other term of employment, the order of precedence to resolve such conflicts shall be as follows: a.) the terms of any specific employment agreement or acknowledgment; b.) the University’s policies; and c.) these Terms of Use. Notwithstanding the previous sentence, the University reserves the right to resolve any such conflicts in their sole discretion.
Unless otherwise indicated in the Services, all content and other materials on the foregoing, including, without limitation, the University logo, and all designs, text, graphics, pictures, information, data, software, routines, documentation, technology, sound files, other files, and the selection and arrangement thereof (collectively, the "Site Materials") are the proprietary property of the University, its licensors or users and are protected by U.S. and international copyright and other laws. You are granted a limited license, without the right to sublicense, to access and use the Site Materials and the Services, and to print hard copy portions of the Site Materials, for your educational, non-commercial and personal use only. Unless otherwise specified in these Terms of Use, all information and screens appearing on or in the Services, including documents, services, site design, text, graphics, logos, images and icons, as well as the arrangement thereof, are the sole property of the University. All rights not expressly granted herein are reserved. Except as otherwise required or limited by applicable law, any reproduction, distribution, modification, retransmission, or publication of any copyrighted material is strictly prohibited without the express written consent of the copyright owner or license.
The University may make Apps available to access its Sites via a mobile device. To use the Apps, you must have a compatible mobile device. The University does not warrant that the Apps will be compatible with your mobile device. The University hereby grants to you a non-exclusive, non-transferable, revocable license to use an object code copy of the App for one registered account on one mobile device owned or leased solely by you for your personal use. You may not: (i) modify, disassemble, decompile or reverse engineer the Apps, except to the extent that such restriction is expressly prohibited by law; (ii) rent, lease, loan, resell, sublicense, distribute or otherwise transfer the Apps to any third party or use the App to provide time sharing or similar services for any third party; (iii) make any copies of the Apps; (iv) remove, circumvent, disable, damage or otherwise interfere with security-related features of the Apps, features that prevent or restrict use or copying of any content accessible through the Apps, or features that enforce limitations on use of the Apps; or (v) delete the copyright and other proprietary rights notices on the Apps. You acknowledge that the University may from time to time issue upgraded versions of the Apps and may automatically electronically upgrade the version of the App that you are using on your mobile device. You consent to such automatic upgrading on your mobile device and agree that these Terms will apply to all such upgrades. The foregoing license grant is not a sale of the Apps or any copy thereof, and the University and its third party licensors or suppliers retain all right, title, and interest in and to the Apps (and any copy of the Apps). The Services provide methods to contact us via text, email, and chat. All use of these contact methods are subject to our Privacy Policy. Our chat box may be either live or automated and be provided by us or a third party.
If you elect to receive text messages from us, including marketing text messages, either via our Site or by sending a text message indicating your consent, you are providing your prior express written consent to receive recurring marketing or promotional SMS text messages from us (each, a “Text Message”) sent through an automatic telephone dialing system. This service is optional and is not a condition for purchase. In accordance with the Digital Millennium Copyright Act (“DMCA”) and other applicable laws, the University will terminate, in appropriate circumstances and at the University’s sole discretion, users, subscribers or account holders who are deemed to be repeat infringers of intellectual property rights. The University may also, at its sole discretion, limit access to the Services and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement. Notwithstanding the foregoing, users who are students of the University will also be subject to the policies and procedures set forth in our Consumer Information Guide, which policies and procedures are in addition to these Terms of Use. All employees of the University will also be subject to the University’s employee policies and procedures in addition to these Terms of Use.

All other trademarks, service marks, logos, and product names published on the Services are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by the University.
The University makes no claim or representation regarding, and accepts no responsibility for, the quality, content, nature or reliability of third party web sites accessible by hyperlink from the Services. Such sites are not under the control of the University, and the University is not responsible for the contents of any linked site or any link contained in a linked site, or any review, changes or updates to such sites. By using Microsoft Online Services, you agree to be bound by and comply with the Microsoft Online Services Acceptable Use Policy and any other applicable Microsoft terms or conditions.
The Services include and make use of certain functionality and services provided by third parties, including Google, that allow the University to include maps, geocoding, places and other Site Materials as part of the Services (the “Geo-Location Services”). Your use of the Geo-Location Services is subject to Google’s then current Terms of Use for Google Maps/Google Earth and by using the Geo-Location Services, you are agreeing to be bound by Google’s Terms of Use.
The Services may include public or restricted access discussion forums, or other interactive areas or services ("Interactive Areas"), including chat rooms or message boards, online hosting or storage services, mobile applications, tablet applications, or other areas or services in which you or other users create, post or store any content, messages, materials, data, information, text, music, sound, photos, video, graphics, code or other items or materials on the Services ("User Content"). Interactive Areas are provided "as is". You are solely responsible for your use of such Interactive Areas and use them at your own risk.

Any use of the Interactive Areas or other portions of the Site Materials or the Services in violation of these Terms of Use, including the foregoing, may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or the Site Materials or the Services.
The University takes no responsibility and assumes no liability for any User Content posted, stored or uploaded by you or any third party, or for any loss or damage thereto or resulting therefrom, nor is the University liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter. You grant the University, its affiliates, and third party service providers a nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such User Content throughout the world in any media. You grant the University and its affiliates and sublicensees the right to use the name that you submit in connection with such User Content, at their sole discretion. Any software and all underlying information and technology downloaded or viewed in connection with the Services (collectively the "Software or Technical Data") by you may be subject to U.S. export controls, including the Export Administration Act (50 U.S.C. Appx. §§ 2401 et seq.) and the Export Administration Regulations (50 C.F.R. Parts 730-774) and may be subject to export or import regulations in other countries. You are solely responsible for complying with all trade regulations and laws, both foreign and domestic, in your use and viewing of the Site Materials and the Services, including without limitation, the Software or Technical Data. IF YOU ARE A STUDENT, YOU ACKNOWLEDGE THAT NO PORTION OF YOUR TUITION SHALL BE CONSIDERED COMPENSATION PAID FOR ACCESS TO OR USE OF THOSE SERVICES ACCESSIBLE TO STUDENTS AS PART OF THEIR PROGRAM OR COURSE OF STUDY. HOWEVER, IF YOU PAY ELECTRONIC MATERIALS FEES TO THE UNIVERSITY, A PORTION OF SUCH FEES MAY BE CONSIDERED COMPENSATION FOR YOUR USE OF SUCH SERVICES.
The University will cooperate with law enforcement if you are suspected of having violated applicable laws. YOU WAIVE AND HOLD THE UNIVERSITY HARMLESS FOR ANY COOPERATION WITH, OR DISCLOSURE OF YOUR INFORMATION TO, LAW ENFORCEMENT RELATING TO YOUR SUSPECTED VIOLATION OF APPLICABLE LAWS.
These Terms of Use and your use of the Services (except as otherwise may be provided with respect to Third Party Applications) shall be governed by and construed in accordance with the laws of the State of Arizona applicable to agreements made and to be entirely performed within the State of Arizona, without resort to its conflict of law provisions. You agree that any action at law or in equity arising out of or relating to these Terms of Use (except as may be provided with respect to third party copyright complaints) shall be filed only in the state and federal courts located in Maricopa County, Arizona, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these Terms of Use.
Notwithstanding anything to the contrary in these Terms of Use, the University reserves the right, without notice and in its sole discretion, to terminate your license to use the Services or any portion thereof, and to block or prevent your future access to and use of any of the Services. The University is not liable to you or any third party for damages relating to such termination or suspension of your access or use of the Services, or in the event that the University modifies, discontinues or restricts the availability of the Services (in whole or in part).
If any provision of these Terms of Use shall be deemed unlawful, void or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be modified by such court to the minimum extent necessary to make such provision enforceable and, if such modification is not possible, such provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions.
